Ethereal Candle Crafters – Rental Agreement (South Africa)

1. Parties

This Agreement is between Ethereal Candle Crafters (PTY) Ltd ("the Company") and the client ("the Customer"). By placing an order via Shopify, email, invoice acceptance, or any digital platform operated by the Company, the Customer agrees to be legally bound by this Agreement.

2. Governing Law

This Agreement is governed by the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008 (CPA), the Electronic Communications and Transactions Act 25 of 2002 (ECTA), and the Common Law of Contract.

3. Acceptance of Terms

Payment of an invoice or confirmation of an order constitutes acceptance of these terms, whether or not physically signed. Electronic acceptance via Shopify checkout or digital confirmation is legally binding under ECTA.

4. Rental Goods

All candles remain the property of Ethereal Candle Crafters (PTY) Ltd at all times. Rental goods may not be sold, sublet, or transferred without written consent. Products are rental items only unless explicitly stated as "sale" on an invoice. Full payment is required before dispatch or collection, a minimum of 14 days prior to the event unless otherwise agreed in writing.

5. Rental Period

The rental period applies strictly to the event date agreed upon. Goods must be returned within 14 working days after the event. Late returns incur a fee of 10% of the total invoice value per day. Items not returned within 28 working days will be deemed lost and charged at full replacement value.

6. Delivery & Risk

Risk transfers to the Customer upon delivery or collection. The Customer is responsible for inspecting goods upon receipt and reporting any issues before the event in writing. Return shipping or collection costs are for the Customer's account unless otherwise agreed.

7. Customer Responsibilities

The Customer agrees to use all candles safely and responsibly, keep candles away from flammable materials, never leave lit candles unattended, and ensure compliance with all fire safety regulations applicable to the venue. The Company is not responsible for misuse, negligence, or failure to follow safety instructions.

8. Damage, Loss & Replacement

The Customer is responsible for all items until returned and inspected. Damaged, lost, or unreturned items will be charged at full replacement value. Cleaning beyond normal use may incur additional fees.

9. Cancellation Policy

Cancellations must be made in writing. Refund terms are as follows: 60 or more days before the event, a full refund minus admin fees applies; 30–59 days before the event, a partial refund is at the Company's discretion; less than 30 days before the event, no refund will be issued. Custom or rush order items are non-refundable once production has begun.

10. Indemnity & Liability

The Customer indemnifies the Company against claims arising from misuse, negligence, or unsafe handling of rented goods. Nothing in this Agreement excludes liability where such exclusion is prohibited under South African law, including gross negligence or statutory liability under the CPA. The Company shall not be liable for indirect or consequential damages.

11. Legal Costs

The Customer is liable for all legal costs incurred by the Company in enforcing this Agreement, on an attorney-and-own-client scale, where permitted by law.

12. Termination

This Agreement terminates once goods are returned and all obligations are fulfilled. For recurring clients, either party may terminate with 14 days' written notice.

13. Dispute Resolution

The parties agree to attempt resolution in good faith prior to litigation. Jurisdiction will lie at the Krugersdorp Gauteng Magistrates' Court of South Africa, where applicable and legally permitted.

14. Force Majeure

The Company is not liable for failure to perform due to events beyond reasonable control, including load shedding, natural disasters, transport disruptions, or supplier failures.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or representations.

Payments can also be made directly via the Shopify site. No cash payments are accepted. Proof of payment must be sent to hello@etherealcandlecrafters.com.

17. Electronic Acceptance

By placing an order or ticking acceptance during checkout, the Customer confirms they have read, understood, and agreed to this Agreement.
