Stockist Agreement
Ethereal Candle Crafters (PTY) Ltd – Stockist Agreement
1. Appointment
Ethereal Candle Crafters may appoint approved stockists to resell selected products. Appointment does not imply exclusivity unless agreed in writing.
2. Nature of Relationship
Stockists operate as independent resellers and are not agents, partners, employees, or representatives of Ethereal Candle Crafters. Stockists may not bind or represent the company.
3. Resell Rights
A non-exclusive, non-transferable right is granted to resell approved products purchased directly from Ethereal Candle Crafters. Products must remain unaltered and in original branding and packaging unless written permission is granted.
4. Pricing & Brand Control
Stockists must adhere to recommended retail pricing where provided. Undermining brand positioning through excessive discounting or misrepresentation may result in termination of stockist status.
5. Minimum Order & Payment Terms
Minimum order quantities (MOQ) may apply. All orders must be paid in full prior to dispatch unless otherwise agreed in writing. Ethereal Candle Crafters reserves the right to withhold supply until payment is received.
6. Delivery & Risk
Risk transfers to the stockist upon delivery. Ethereal Candle Crafters is not responsible for loss or damage occurring after dispatch unless caused by a proven manufacturing defect.
7. Branding & Intellectual Property
All trademarks, product designs, images, and branding remain the property of Ethereal Candle Crafters. Stockists may only use approved marketing materials and may not alter branding or claim ownership.
8. Storage & Handling
Stockists must store products in appropriate conditions to preserve quality and safety. Damage caused by improper storage is the responsibility of the stockist.
9. Termination
Ethereal Candle Crafters may terminate this agreement at any time for breach of terms, misuse of brand assets, non-payment, or conduct harmful to brand reputation. Upon termination, resale rights cease immediately.
10. Limitation of Liability
Ethereal Candle Crafters shall not be liable for indirect or consequential losses arising from resale activities. Liability is limited to the value of goods supplied, to the extent permitted under South African law.
11. Governing Law
This agreement is governed by the laws of the Republic of South Africa, including the Consumer Protection Act where applicable.
